1. Acceptance of Terms

By accessing or using Verdant (“the Service”), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use the Service. These terms apply to all users of the Service, including owners, staff, and any other users granted access by an organisation administrator.

2. Description of Service

Verdant is a field-service management platform that enables organisations to manage jobs, clients, scheduling, invoicing, and team communications. The Service is provided on a software-as-a-service basis and is accessed via a web browser.

3. User Accounts

Your account credentials are personal to you and must not be shared with others. You are responsible for all activity that occurs under your account. You must notify your organisation administrator immediately if you suspect unauthorised access to your account. You must provide accurate information when using the Service and keep it up to date.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited, deceptive, or harassing communications to clients
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or otherwise extract data from the Service in bulk without authorisation
  • Use the Service in any way that could damage, disable, or impair its operation

5. Client Data & Privacy

As a user of Verdant, you may store personal data about your clients, including names, contact details, and addresses. You are responsible for ensuring that your collection and use of this data complies with all applicable privacy laws, including but not limited to the Australian Privacy Act 1988 and any relevant state legislation. Verdant processes this data on your behalf as a data processor. You retain ownership of all client data you store in the Service.

6. GPS Tracking (Organisation-tier plans)

Organisations on an Organisation-tier plan may enable GPS tracking of staff clock-in and clock-out activity. When enabled, Verdant records the approximate location (latitude, longitude, and accuracy) of the staff member at the moment they clock in, at a configurable interval while they are clocked in, and at the moment they clock out. An optional geofence may be configured; clock-ins recorded outside that area will be flagged in the organisation’s timesheet for the owner to review, but are not prevented.

Staff must grant the browser’s geolocation permission to clock in when GPS tracking is enabled by their organisation. Location is only captured while the staff member is clocked in; Verdant does not track staff location outside of clocked-in periods. Location data is stored only on the organisation’s account and is visible to the organisation’s owners and Verdant’s support staff where necessary to operate the Service.

If you are a staff member and have concerns about GPS tracking, you should raise them with your employer (the organisation that invited you to Verdant), who configures and controls this feature.

7. SMS & Email Communications

The Service enables you to send SMS messages and emails to clients on your behalf using third-party providers (ClickSend for SMS, and your configured SMTP server for email). You are solely responsible for ensuring that recipients have consented to receive communications from you, that all messages comply with applicable spam and telecommunications laws, and that message content is accurate and not misleading. Verdant accepts no liability for the content of messages you send through the Service.

8. Pricing & Payments

Access to Verdant is billed on a weekly subscription basis at the rate applicable to your chosen plan. Payments are processed automatically each week via Stripe. Usage of SMS messaging services may incur additional usage-based charges depending on the volume of messages sent, billed according to the pricing agreed between you and Verdant. Verdant does not store or process payment card data directly — all payment handling is managed by Stripe. You are responsible for the accuracy of all client invoices created through the Service.

9. Intellectual Property

All intellectual property rights in the Service, including its design, software, and content, are owned by or licensed to Verdant. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only. You must not copy, modify, distribute, sell, or sublicence any part of the Service.

10. Availability & Uptime

Verdant aims to keep the Service available at all times but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances outside our control. We will endeavour to give reasonable notice of planned downtime where possible.

11. Limitation of Liability

To the maximum extent permitted by law, Verdant and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of data, or loss of business opportunity. Our total aggregate liability to you shall not exceed the fees paid by your organisation for the Service in the three months preceding the claim.

12. Cancellation & Termination

Cancellation by you: You may cancel your subscription at any time by providing 30 days written notice to Verdant. Notice must be submitted through the billing settings in the Service. Weekly payments continue throughout the 30-day notice period, after which your subscription ends and access to the Service ceases. No refunds are issued for any portion of the notice period already paid.

Termination by Verdant: Verdant may suspend or terminate access to the Service at any time, with or without notice, if these terms are breached, if fees remain unpaid, or if Verdant ceases to operate the Service. Upon termination by Verdant for reasons other than breach, a pro-rata refund of any prepaid fees may be provided at Verdant’s discretion.

13. Changes to Terms

We may update these Terms & Conditions from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated terms. Material changes will be communicated to users via the Service or by email where possible.

14. Governing Law

These terms are governed by the laws of Australia. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Australia.
